The new provisions of the Commercial Companies Code in force since 15.09.2023 implemented Directive 2019/2121 of 27.11.2019 into Polish law, while amending Directive (EU) 2017/1132 on cross-border transformation processes, mergers and divisions of companies. The main objective of these amendments was to facilitate procedures related to international reorganisations, while safeguarding the interests of creditors, minority shareholders and employees of companies.
