24.06.2025 / News / Trade & Commercial Contracts

In accordance with the Accounting Act, the annual financial statement of a Family Foundation must be:
• prepared within 3 months from the balance sheet date,
• approved by the Assembly of Beneficiaries within 6 months from the balance sheet date.

If the Family Foundation’s financial year ended on December 31, 2024, the final deadlines are:
March 31, 2025 – preparation of the financial statement
June 30, 2025 – approval of the financial statement

Documents that must be submitted to the District Court in Piotrków Trybunalski (within 15 days from the date of approval):

  • the financial statement in paper form
  • the financial statement in electronic form (XML file on a CD)
  • minutes with the resolutions of the Assembly of Beneficiaries:
    a. on approval of the financial statement
    b. on profit distribution or loss coverage
    c. on granting discharge to the members of the foundation’s governing bodies
  • the auditor’s report (if required)
  • confirmation of the court fee payment – PLN 250

Important:
Family foundations do not use the e-KRS system – documents must be submitted exclusively in paper form. Failure to submit documents on time may result in a fine, restriction of liberty, or – in the case of failure to prepare the financial statement – even imprisonment.
