We advised SAVANGARD on the sale of shares to the Finnish investor – Digia.

We supported the owners of Savangard Sp. z o.o. (along with its subsidiaries Peoplevibe Sp. z o.o. and Finnovative Solutions UAB) in the signing of a preliminary agreement for the sale of 100% of the shares to the Finnish investor Digia Plc. The final agreement will be concluded once the conditions precedent have been fulfilled.

As part of the project, the Sadkowski i Wspólnicy law firm team was responsible for providing comprehensive legal advice to the seller, which included, among others:

• Negotiation of the transaction terms and transaction documents (SPA),

• Support in aligning agreements concerning key managers.

The transaction team consisted of: Mariusz Kowolik – Attorney-at-law, Partner at the firm, and Patrycja Wieczorek – Attorney-at-law, Rafał Małolepszy – Managing Counsel, Advocate. Additionally, the tax aspects of the transaction were consulted by the tax team led by PhD Anna Kuleszyńska – Attorney-at-law.

This transaction strengthens Digia’s position as a leading provider of integration and API services in Northern Europe, while Savangard – with net revenues of approximately EUR 16.4 million for 2024 – begins a new phase of dynamic growth within the Digia Plc structure.
