We advised WĘGLOKOKS S.A. on the completion of the process of establishing the target ownership structure of Huta Częstochowa.

The team at Sadkowski and Partners advised WĘGLOKOKS S.A. in the reorganization and restructuring of the ownership structure of Huta Częstochowa, completed on 18 May 2026.

Under the adopted structure, WĘGLOKOKS S.A. will acquire a 50.1% stake in Huta Częstochowa, while the Agencja Mienia Wojskowego will hold the remaining 49.9% stake.

The completion of the transaction marks the culmination of a process that began in November 2025 with the lease of the plant’s assets by WĘGLOKOKS S.A. The process subsequently included, among other steps, the acquisition of the assets by the State Treasury – the Ministry of National Defence, followed by their transfer to the Military Property Agency.

Closing the transaction represents an important step toward ensuring the operational security of Huta Częstochowa and creates a foundation for its further development within the strategy of the Węglokoks Capital Group, while also contributing significantly to the development of the region.
